1. Overview

Welcome to Photoshoot Studio, an AI-powered product photography service operated by ConnectEngine LLC (“we,” “us,” or “our”). By accessing or using our service at photoshoot-studio.com, you agree to be bound by these Terms of Service.

Photoshoot Studio enables you to create professional product images using artificial intelligence. You upload your product photos, and our AI generates styled product photography for your use.

2. Eligibility

You must be at least 18 years old to use Photoshoot Studio. By using our service, you represent and warrant that you:

• Are at least 18 years of age
• Have the legal authority to enter into these Terms
• Are not prohibited from using the service under applicable laws

3. User Accounts

To use Photoshoot Studio, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

4. Generated Images and Content Ownership

Your Content: You retain full ownership of images you upload to Photoshoot Studio. You represent that you have all necessary rights to upload and use these images.

Generated Images: Images generated by our AI service are yours to use for any lawful purpose, including commercial use. You own the generated images.

License to Us: By uploading content, you grant us a limited license to process, store, and display your images solely for the purpose of providing the service. We do not use your images to train AI models or for any purpose other than delivering the service to you.

4A. AI-Generated Content & Third-Party Models

Photoshoot Studio uses third-party artificial intelligence models and services to generate and process images. These AI models are developed, trained, and operated by independent third parties (see Section 6). ConnectEngine LLC does not control, audit, or make representations about the training data, methods, or outputs of these third-party AI models.

No guarantee of copyright protection. Copyright protection for AI-generated content may vary by jurisdiction and is subject to evolving legal standards. We make no representations or warranties regarding the copyrightability, exclusivity, or intellectual property status of AI-generated images. You are solely responsible for determining whether generated images are suitable and legally sufficient for your intended use.

No guarantee of uniqueness. AI-generated images may be similar to images generated for other users or to existing works. We do not guarantee that generated images will be unique or free from resemblance to other works.

Upstream model liability. ConnectEngine LLC is not responsible for any intellectual property claims, damages, or liabilities arising from how third-party AI models were trained, including but not limited to claims that training data included copyrighted, trademarked, or otherwise protected material. Any such claims are the sole responsibility of the respective AI model providers.

5. Acceptable Use

You agree not to use Photoshoot Studio to:

• Create illegal, harmful, or offensive content
• Generate images that infringe on intellectual property rights
• Upload content you don't have rights to use
• Attempt to reverse-engineer or exploit our systems
• Circumvent usage limits or payment requirements
• Disrupt or interfere with the service
• Create content depicting minors inappropriately
• Generate fraudulent or deceptive content
• Upload, process, or generate images of products, brands, or trademarks you do not own or have authorization to use
• Use generated images in a manner that infringes on the trade dress, trademarks, or branding of third parties
• Create images intended to deceive consumers about the origin, sponsorship, or affiliation of a product

We reserve the right to remove content and terminate accounts that violate these guidelines.

6. Third-Party Services

Photoshoot Studio integrates with third-party services to deliver our features. By using Photoshoot Studio, you acknowledge that your data may be processed by:

• Supabase: Authentication, database, and image storage
• AIML API: AI image generation
• Anthropic (Claude): AI product analysis and prompt generation
• Stripe: Payment processing
• Resend: Email delivery
• Hetzner: Server infrastructure
• Slack: Internal job notifications

7. Payments and Subscriptions

Photoshoot Studio uses a credit-based system. You may purchase credits through one-time packs or monthly subscriptions.

• Credits: Credits are used to generate images and do not expire while your account is active
• Refunds: Unused credits from one-time purchases are generally non-refundable. Contact us for exceptional circumstances
• Subscriptions: Monthly subscriptions auto-renew. You may cancel at any time; cancellation takes effect at the end of the billing period
• Price Changes: We may change pricing with 30 days notice. Existing subscriptions will be honored until renewal

All payments are processed securely by Stripe. We do not store your full payment card details.

8. Intellectual Property

The Photoshoot Studio service, including our website, AI models, software, branding, and documentation, is owned by ConnectEngine LLC and protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our service without our written permission. This does not affect your ownership of images you upload or generate.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

• Scheduled maintenance (we'll provide advance notice when possible)
• Unexpected technical issues
• Third-party service outages
• Force majeure events

We reserve the right to modify, suspend, or discontinue features at any time.

10. Disclaimers

PHOTOSHOOT STUDIO IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The service will meet your specific requirements
• The service will be uninterrupted or error-free
• Generated images will be suitable for your intended use
• Any defects will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONNECTENGINE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from your use of Photoshoot Studio shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ConnectEngine LLC from any claims, damages, or expenses (including legal fees) arising from:

• Your use of Photoshoot Studio
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or generate
• Claims arising from the use of AI-generated images in commerce, advertising, or any other context, including but not limited to intellectual property infringement, trade dress violations, or consumer protection claims
• Claims related to the copyright status or protectability of AI-generated content

13. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion.

Upon termination:

• Your right to use the service ends immediately
• We may delete your account data after a reasonable period
• Unused credits are forfeited (except as required by law)
• Provisions that should survive termination will remain in effect

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the use of Photoshoot Studio shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the seat of arbitration shall be Wyoming, USA. The arbitrator's decision shall be final and binding. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming, and you consent to personal jurisdiction in such courts.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and changing the “Last updated” date. Your continued use of Photoshoot Studio after changes constitutes acceptance of the new Terms.
